Terms of Service
Effective [effective date]
These are the terms for restaurants using Aduane. We have tried to keep them short and plain. The summary below is for convenience; the numbered sections are what apply.
In short
- Your data is yours. We look after it, use it only to run the Service, and delete it if you leave.
- Guests’ payments go straight to your own Paystack account: you are the seller, not Aduane.
- You are responsible for your menu, allergens, orders, bookings, staff access and the messages you send guests.
- AI features produce drafts: check them before relying on them.
- Paid plans are monthly; if you stop paying you move to the free plan and nothing is deleted.
1. About these terms
These terms are an agreement between [Company legal name] (“Aduane”, “we”, “us”) and the business that creates an Aduane account (“you”, the “Restaurant”). They cover the Aduane dashboard, the staff app (in a browser or the Aduane Staff Android app), the restaurant’s public ordering and booking pages, and everything we provide with them (together, the “Service”).
By creating an account, or by using the Service, you accept these terms on behalf of the Restaurant, and you confirm you are allowed to do so. If you don’t accept them, don’t use the Service.
- Users are the people you give dashboard access to (owners, managers, admins).
- Staff are the people who sign in to the staff app with a PIN.
- Guests are your customers: people who order, book, pay or receive receipts and messages through the Service.
- Restaurant Data is everything you, your Users and Staff, and your Guests put into the Service (menus, orders, payments, stock, staff details, guest details, and so on).
2. Your account
- The Service is for businesses. You must give accurate details when you sign up and keep them up to date, and confirm the account owner’s email address.
- You decide who has access. You are responsible for everything done through your account: by your Users, by your Staff with their PINs, and on your devices.
- Keep passwords, PINs, recovery codes and payment keys secret. Use strong passwords, and turn on two-factor sign-in for dashboard users. Remove people and devices that should no longer have access. Tell us at once if you think your account has been misused.
- You must be at least 18 to accept these terms.
3. Plans, trial and fees
- We offer a free Starter plan and paid plans (currently Standard and Pro). Each plan’s features and limits (staff devices, dashboard users, monthly SMS and AI allowances) are shown in the dashboard under Billing.
- New accounts get a 30-day free trial of a paid plan. When it ends you choose a paid plan or move to Starter.
- Paid plans are billed monthly in advance, in Ghana cedis, by card or mobile money through our payment provider, or by another method we agree with you. Prices include any taxes we show; otherwise taxes are added as the law requires.
- If a payment fails or an invoice is not paid within the grace period shown in the dashboard, your account moves to Starter. Nothing is deleted, but features and devices or users above Starter’s limits are paused until you pay or choose a plan.
- You can change or cancel your plan at any time under Billing. A downgrade or cancellation takes effect at the end of the period you have paid for. Fees already paid are not refunded, except where the law requires it.
- We may change prices or plans. We will tell you at least 30 days before a price rise affects you, and it starts from your next billing period after that.
- Allowances (for example SMS to guests, AI menu imports and invoice scans) reset each calendar month and do not carry over.
4. Taking payments from guests
You can take card and mobile money payments from guests through your own Paystack account, which you connect in the dashboard. When you do:
- The money goes from the guest to your Paystack account, not to Aduane. Aduane is not a bank, payment service provider or money holder, and never holds your guests’ payments.
- You are the seller. Paystack’s fees, payouts, refunds, chargebacks and disputes are between you, your guests and Paystack, under Paystack’s own terms, which you must accept and follow.
- We store your Paystack secret key encrypted and use it only to create and check your guests’ payments. Keep your Paystack account secure, and disconnect or replace the key in the dashboard if you think it has been exposed.
- We record a payment on an order only after Paystack confirms it. We are not responsible for Paystack’s or a mobile network’s delays, outages or decisions, or for payments recorded by hand.
5. Online ordering and booking pages
- Your public page lets guests order from you and book your tables. The order or booking is between the guest and you: you are responsible for your menu, prices, descriptions, allergen information, opening hours, accepting or rejecting orders, preparing and delivering food, and honouring bookings.
- Allergen and dietary information is what you enter (or confirm). Make sure it is correct and tell guests to check with you.
- You are responsible for complying with the laws that apply to selling food and to your business, including food safety, consumer protection, pricing and tax rules.
6. SMS and email messages
- The Service can send guests service messages for you: order and booking updates, booking reminders and e-receipts. You choose which, and can turn them off. It can also send you alerts and a daily briefing.
- You must have a lawful basis to message each guest (for example, they gave their number for that order or booking). The Service is for service messages only: do not use it for marketing unless the guest has agreed to it and the law allows it.
- SMS are sent from the sender name “Aduane” or a sender name of your own once it is registered. We may stop or limit messages that break the law, our provider’s rules or these terms.
- Messages depend on mobile networks and providers. We can’t guarantee every message is delivered or delivered on time.
7. AI features
Some features use artificial intelligence (provided by Anthropic) to read menus and supplier invoices from photos or PDFs, to count stock from photos, and to write your daily briefing.
- AI can make mistakes. What it reads or writes is a draft. The Service asks you to check menu imports and invoices before anything is saved, and you are responsible for what you accept. Suggested allergens in particular must be checked.
- Daily briefings summarise figures from your own records. They are not financial, tax, legal or HR advice. Don’t act against a member of staff on the strength of a briefing alone: look at the records.
- Files you upload for reading or counting are sent to our AI provider to be processed and are not stored by Aduane afterwards. We don’t use your Restaurant Data to train AI models, and our provider’s commercial terms don’t allow it to either.
8. Your data and privacy
- Restaurant Data belongs to you. You give us permission to host, copy, process and show it only as needed to provide, secure and support the Service, and as these terms describe.
- For personal data about your Staff and Guests, you are the data controller and we process it on your behalf. You are responsible for having a lawful basis to collect it, for telling people how you use it, and for meeting your obligations under the Data Protection Act, 2012 (Act 843) and any other law that applies to you.
- We process that data only on your instructions (given through how you use the Service), keep it confidential, protect it with appropriate security measures (encryption in transit, access controls, encrypted storage of secrets, audit logs and backups), and tell you without undue delay if we become aware of a breach affecting it.
- We use trusted providers to run the Service: hosting, email, SMS, Paystack (payments, when you connect it) and Anthropic (AI features). They process data only as needed for their part of the Service, under contracts that require them to protect it.
- We keep anonymous, aggregated statistics about how the Service is used, to run and improve it. These never identify you, your Guests or your Staff.
- Our Privacy Policy explains in more detail what personal data the Service handles, for you and for us, and the rights people have.
- You can ask us for a copy of your Restaurant Data at any time. When your account is closed, we keep it for 30 days so you can change your mind or ask for a copy, then delete it. Copies in backups are deleted as the backups rotate, within a further 30 days.
9. Acceptable use
You and everyone using your account must not:
- use the Service for anything unlawful, fraudulent or harmful, or to sell anything that is illegal;
- send spam or unwanted messages, or messages that are abusive, misleading or unlawful;
- upload content you have no right to use, or malware;
- try to get around plan limits, security or access controls, or access other restaurants’ data;
- copy, reverse engineer, resell or rent the Service, except as the law allows or we agree in writing;
- overload or disrupt the Service, for example by automated scraping or excessive requests.
10. Devices, offline mode and your equipment
- You provide and look after the phones, tablets, printers, internet connection and other equipment you use with the Service.
- The staff app keeps working without internet and syncs when the connection returns. Changes saved on a device but not yet synced can be lost if that device is lost, reset or its storage is cleared. Reconnect devices regularly.
- Keep the Android app up to date when an update is offered, so you have the latest fixes.
11. Availability and support
- We work to keep the Service available and secure, and back up data every night. We don’t promise it will be uninterrupted or error-free, unless we agree a service level with you in writing.
- We may need to carry out maintenance, and will try to do it at quiet times and give notice when we can.
- Support is by email at support@nanafi.africa and through the channels shown in the dashboard.
- We may change, add or remove features. If we remove a feature you pay for, we will tell you in advance and you may cancel.
12. Records, reports and tax
The Service keeps records and produces reports (sales, payments, cash-up and Z reports, stock and costs, expenses). They are tools to help you run your business. You remain responsible for your accounts, your tax returns and payments (including VAT and levies to the Ghana Revenue Authority), and for keeping any records the law requires, and you should check reports before relying on them.
13. Our intellectual property
The Service, its software, design and content (other than Restaurant Data) belong to Aduane and its licensors. While your account is active, we give you a non-exclusive, non-transferable right to use the Service for your business under these terms. If you send us suggestions or feedback, we may use them freely.
14. Suspension and closing an account
- You can stop using the Service and ask us to close your account at any time.
- We may suspend or close an account, after warning you where reasonable, if fees remain unpaid, if these terms are seriously or repeatedly broken, if we must by law, or to protect the Service, other customers or Guests. Where we can, we will give you the chance to put things right first.
- When an account is closed, access ends and Restaurant Data is handled as in section 8. Sections that by their nature should continue (for example fees owed, limits of liability and governing law) continue to apply.
15. Warranties and liability
- Except as these terms say, the Service is provided “as is”. To the extent the law allows, we exclude all other warranties, including that it will be fit for a particular purpose.
- Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, business or goodwill.
- Our total liability to you for all claims in any 12 months is limited to the fees you paid us for the Service in those 12 months (or GHS 500 if you used only the free plan).
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
- You will cover us for claims by third parties (including Guests) that arise from your food, products, services, content, messages, or use of the Service in breach of these terms or the law.
16. Changes to these terms
We may update these terms. We will give at least 30 days’ notice by email or in the dashboard of changes that materially affect you. If you don’t agree to the changes, you may close your account before they take effect; continuing to use the Service afterwards means you accept them.
17. Law and disputes
These terms are governed by the laws of the Republic of Ghana. If a dispute arises, we will both first try in good faith to settle it by talking. If that fails within 30 days, either of us may refer it to mediation or arbitration under the Alternative Dispute Resolution Act, 2010 (Act 798), or to the courts of Ghana, which have jurisdiction.
18. General
- These terms, with anything we agree in writing for your account, are the whole agreement between us about the Service.
- You may not transfer your account or these terms without our consent. We may transfer them to a company that takes over the Service, and will tell you if we do.
- If part of these terms can’t be enforced, the rest still applies. If we don’t enforce a right straight away, we can still do so later.
- Neither of us is responsible for delays or failures caused by events beyond reasonable control, such as power or network outages, natural disasters or actions of authorities.
- We send notices to the account owner’s email address or show them in the dashboard. Notices to us go to the address below.
